" \n GSE: Golden Star Resources to delist from local bourse \n \n\n \n Gold exploration and production firm,\u00a0Golden Star Resources [GSR], is expected to delist from the Ghana Stock Exchange [GSE] in the coming weeks. \n \n\n \n The delisting of the mining firm from the local bourse will follow prior delisting from both the New York Stock Exchange and the Toronto Stock Exchange . \n \n\n \n This comes after the successful endorsement of the takeover of the mining firm by China\u2019s\u00a0 Chifeng Jilong Gold Mining Co ., Ltd\u00a0 paving way for the exit of Golden Star from Ghana, Canada and USA and the entry of Chifeng into those markets. \n \n\n \n A statement issued by Golden Star Resources says the endorsement means Chifeng will become the first big Chinese miner to operate in Ghana. \n \n\n \n Read This: Fixed Income Market: Government raises GHS 1.47bn from debt market \n \n\n \n Below is the full statement: \n \n\n \n Shareholders Vote Overwhelmingly in Favour of the Proposed Arrangement with Chifeng \n \n\n \n At the Meeting, Shareholders approved a special resolution (the \u201cArrangement Resolution\u201d) in respect of a statutory plan of arrangement (the \u201cArrangement\u201d) under Section 192 of the Canada Business Corporations Act (the \u201cTransaction\u201d), involving the Company, Chifeng Jilong Gold Mining Co., Ltd. (SHSE: 600988) (\u201cChifeng\u201d) and its subsidiary Chijin International (Hong Kong) Limited (\u201cChijin\u201d), and Kefei Investment (BVI) Limited (collectively with Chijin, the \u201cPurchaser\u201d), pursuant to the arrangement agreement dated October 31, 2021, as amended by an amending agreement dated November 24, 2021 (the \u201cArrangement Agreement\u201d). \n \n\n \n The Arrangement Resolution required the approval of at least two thirds of the votes cast by Shareholders present virtually at the Meeting or represented by proxy. The Arrangement Resolution was approved by approximately 99.47% of the votes cast by Shareholders present virtually at the Meeting or represented by proxy and entitled to vote at the Meeting. \n \n\n \n Golden Star will be seeking a final order from the Ontario Superior Court of Justice (Commercial List) with respect to the Arrangement Agreement on January 7, 2022. The Arrangement is expected to be completed later in January 2022, subject to among other things, receipt of all required regulatory, court and stock exchange approvals, and the satisfaction or waiver of conditions precedent as set forth in the Arrangement Agreement. \n \n\n \n Chifeng Shareholder Approval \n \n\n \n On December 27, 2021, Chifeng held an interim meeting (the \u201cChifeng Meeting\u201d) of shareholders of Chifeng in order to vote on a special resolution approving the Transaction (the \u201cChifeng Transaction Resolution\u201d). The Chifeng Transaction Resolution required the approval of at least two thirds of the votes cast by shareholders of Chifeng present in person or represented by proxy at the Chifeng Meeting. The Chifeng Transaction Resolution was approved by approximately 99.99% of the votes cast by shareholders of Chifeng present in person or represented by proxy at the Chifeng Meeting, thus meeting the threshold required for approval of the Transaction. \n \n\n \n The Transaction \n \n\n \n Pursuant to the Arrangement Agreement, Chifeng, through the Purchaser, has agreed to acquire all of the issued and outstanding Golden Star Shares. Pursuant to and upon completion of the Transaction, Shareholders will receive total consideration, payable in cash, of US$3.91 (equivalent to approximately C$4.85 as of October 31, 2021) per Golden Star Share, which equates to a total Transaction value of approximately US$470 million on a fully-diluted, in-the-money basis. Upon completion of the Transaction in later January 2022, the Golden Star Shares are expected to be delisted from the NYSE American, the Toronto Stock Exchange and the Ghana Stock Exchange. In addition, it is expected that Golden Star will cease to be a reporting issuer under U.S., Canadian and Ghanaian securities laws following the completion of the Transaction. \n \n\n \n Advisors \n \n\n \n Golden Star has engaged Canaccord Genuity Corp. as its exclusive financial advisor as well as Fasken Martineau DuMoulin LLP and Davis Graham & Stubbs LLP as its respective Canadian and United States legal advisors.
