" UBS to accelerate Credit Suisse integration as $10bn safety net ends \r\n\r\nFive months after being pulled into the rescue of Credit Suisse, UBS Group AG\u2019s decision to break free of a government backstop is set to accelerate the historic takeover of its smaller rival.\r\n\r\nSwitzerland\u2019s biggest bank said it will voluntarily end a safety net negotiated as part of its purchase of Credit Suisse, including a 9 billion-franc ($10.3 billion) loss protection agreement. The move buys UBS more freedom in how it deals with its defunct rival\u2019s riskier assets, which will be placed in a \u201cNon-Core and Legacy unit\u201d for businesses that it doesn\u2019t want, a person familiar with the matter said.\r\n\r\nIt comes as a taskforce within UBS is wrapping up decisions on the non-core businesses, with the goal of sending out communications to all clients in September, another person familiar with the matter said.\r\n\r\nUBS\u2019s decision to give up a ten-figure insurance policy is the clearest indication yet of the bank\u2019s confidence in its financial strength, and followed months of due diligence that gave the lender increasing certainty that the guarantees were no longer needed. UBS said in May it will benefit from an estimated $34.8 billion accounting windfall thanks to the deal when it reports earnings later this month.\r\n\r\nThe mammoth integration has already started. Job cuts are already taking place, teams are being reshuffled and at Credit Suisse\u2019s New York office, the nameplate on the wall now reads Credit Suisse AG, a UBS Group company.\r\n\r\nBut the bulk of the work lies ahead.\r\n\r\n\u201cThere will be many more milestones to come, and we will share some of these with you when we report our second-quarter results,\u201d Chief Executive Officer Sergio Ermotti and Chairman Colm Kelleher said in an internal memo to staff on Friday.\r\n\r\nThose earnings are due later this month and are expected to show an accounting gain of as much as 51 billion francs, the biggest bank profit on record, according to estimates shortly after the deal was announced.\r\n\r\nPolitical Capital\r\n\r\nThe decision to end state support should also secure plenty of political goodwill. The government\u2019s backing of the deal has drawn plenty of criticism in Switzerland, with parliament denying the takeover its blessing in a symbolic vote as public anger spread. While such discontent has since largely receded, it remains a sensitive topic.\r\n\r\n\u201cI am fully aware of the responsibilities that come with this important task and that we need to work very avoid any consequences for the taxpayers of Switzerland,\u201d Ermotti said when he was named as CEO in the days after the deal was announced.\r\n\r\nAt a news conference on Friday, Finance Minister Karin Keller-Sutter noted that the federal government hasn\u2019t had to pay out a single franc in connection with the deal it brokered.\r\n\r\n\u201cOn March 19, it was necessary to give these guarantees, but I always knew that for UBS it would be politically difficult to use this guarantee,\u201d Keller-Sutter told a news conference, adding that alternative solutions would have led to a greater risk for taxpayers.\r\n\r\nKeller-Sutter\u2019s party, the Free Democrats, praised her \u201cprudent leadership.\u201d They told newspaper Tages-Anzeiger that the rescue stabilized the Swiss financial center and even delivered a profit to the government of about 200 million francs, thanks to the loans it backstopped.\r\n\r\nThat warmer political atmosphere could be helpful if UBS looks to retain Credit Suisse\u2019s Swiss unit.\r\n\r\nThe fate of the domestic bank has been widely watched as companies and politicians fret over the market power that the combined bank would exercise. Overall, as many as 10,000 jobs could be eliminated if the two Swiss businesses merge due to the high level of overlap in roles, a person familiar with the matter previously told Bloomberg.\r\n\r\nAfter the takeover was announced in March, Kelleher had stressed that UBS would naturally keep what has been called Credit Suisse\u2019s crown-jewel, the Swiss Universal Bank. But the bank later back-tracked when Sergio Ermotti came back as chief executive in April, saying that it would evaluate all options, including listing the unit publicly, or spinning it off.\r\n\r\nNixing government support will also save UBS money. Overall, the various government support measures cost UBS and Credit Suisse 730 million francs.\r\n\r\nThe market so far agrees with the decision. Despite the loss of the backstop, shares in UBS rose\u00a04.72%\u00a0on Friday.\r\n\r\nWhat Bloomberg Intelligence Says:\r\n\r\nExpected losses from acquired Credit Suisse assets may be less than feared, with UBS eliminating a 9 billion-franc backstop ($10 billion) provided by the Swiss government as part of the deal, which was set to follow the first 5 billion francs of losses taken by the acquirer related to a specific portfolio. The move indicates UBS\u2019 confidence that worst-case losses are manageable, following stress testing of related non-core assets. Termination may also help politically, providing flexibility for the sizable combined Swiss business, while also saving expected annual fees related to the backstop.\r\n\r\n\u2014 Alison Williams, BI banking analyst\r\n\r\nBut while the financial risks from the deal are receding, reputational risks remain. Given UBS never needed state help, the terms the bank secured could start to look more like a government blessing to take out a rival than vital support for a rescue.\r\n\r\nSwitzerland\u2019s decision to wipe out $17 billion of Credit Suisse\u2019s AT1 debt as part of the takeover is facing various lawsuits. Holders of those securities found Friday\u2019s news frustrating, given equity holders and now the government have gotten something from the deal.\r\n\r\nPower brokers in Switzerland are also watching the developments closely.\r\n\r\nThe financial situation of Credit Suisse was \u201capparently far better than it was portrayed,\u201d Thomas Aeschi, leader of the Swiss People\u2019s Party, the largest power in parliament, said in a LinkedIn post. \u201cIt is very unfortunate that an overwhelmed Finma and a despondent Federal Council did not ensure that Switzerland would retain two big banks.\u201d"
