NCA grants final approval for Telecel Group’s acquisition of Vodafone Ghana

The National Communication Authority (NCA) has granted final approval for the transfer of the 70% majority shares in Vodafone Ghana (Ghana Telecommunications Company Limited – GTCL) held by Vodafone Group Plc to the Telecel Group, marking the end of a months-long evaluation process.

The NCA’s decision comes after the Telecel Group satisfied the conditions outlined in the conditional approval of the shares transfer, which included the agreement of the Government of Ghana, the 30% minority shareholder. The final approval, announced on Tuesday, February 21, puts the Telecel Group on track to complete the acquisition of Vodafone Ghana.

The acquisition marks a significant step for the Telecel Group, which has been looking to expand its presence in Africa’s telecommunications market. The deal will give the Telecel Group access to Vodafone Ghana’s network infrastructure, subscriber base, and brand, thereby strengthening its position in the region.

The NCA’s assurance that due process will be followed in the interest of all stakeholders is crucial given the potential impact of the acquisition on Ghana’s telecommunications market. The NCA will continue to guide the takeover process in accordance with the existing license conditions of Vodafone Ghana, while ensuring that the interests of consumers are held paramount. This will include monitoring the Telecel Group’s compliance with regulatory requirements and ensuring that service quality and pricing remain fair and competitive.

For Vodafone Group Plc, the sale of its majority stake in Vodafone Ghana to the Telecel Group represents a strategic divestment as it looks to streamline its operations and focus on core markets. The sale also follows a broader trend of consolidation in the global telecommunications industry, as companies seek to rationalize costs and adapt to changing market dynamics.

The acquisition of Vodafone Ghana by the Telecel Group is expected to be completed in the coming weeks, subject to the fulfilment of any remaining conditions. Once completed, the deal will be a significant milestone for the Telecel Group, positioning it as a major player in Africa’s telecommunications industry and enabling it to capitalize on the region’s fast-growing demand for digital services.
