MTN Ghana Finalises Fintech Restructuring; Establishes Independent MobileMoney Fintech Entity

Scancom PLC (MTN Ghana) has completed the structural separation of its mobile money business, marking a significant step in its strategy to scale its fintech operations while complying with regulatory localisation requirements.

The company, in a corporate disclosure, indicated that the transaction was undertaken in line with the Payment Systems and Services Act, 2019 (Act 987), and involved the statutory merger of MobileMoney LTD – its wholly owned subsidiary – into a newly incorporated entity, MobileMoney Fintech LTD (MMFL).

The merger, executed in accordance with the Companies Act, 2019 (Act 992), became effective on March 31, 2026, following the fulfilment of all conditions precedent and the receipt of the necessary regulatory approvals.

Post-transaction, the mobile money business will now be operated by MMFL, while Scancom PLC retains its core telecommunications operations. The company also noted that the transaction did not result in any issuance of new shares, with its stated capital and shareholding structure remaining unchanged.

Ownership of MMFL is split between MTN Dutch Holdings B.V.—a subsidiary of MTN Group Limited—and the MTN Ghana Fintech Trust, which has been established to hold interests on behalf of non-MTN Group shareholders of the company.

The structural separation forms part of broader efforts by MTN Ghana to unlock value in its fintech segment while aligning with Ghana’s regulatory framework for digital financial services.
