Atlantic Lithium Consents to Elevra Transfer of Ewoyaa Rights to Zhejiang Huayou Cobalt

Zhejiang Huayou Cobalt is set to deepen its role in Ghana’s flagship Ewoyaa Lithium Project after Atlantic Lithium consented to Elevra Lithium’s proposed transfer of its rights and interests in the project to the Chinese battery metals group, in a move that could reshape the ownership and funding structure of what is expected to become the country’s first lithium-producing mine.

Atlantic Lithium, listed on the AIM, ASX and Ghana Stock Exchange, said Elevra had agreed to sell all of its rights, obligations, title and interests under the Ewoyaa-related project agreements to Huayou, subject to the satisfaction of relevant regulatory approvals. Elevra currently holds rights to a 22.5 per cent interest in Atlantic Lithium’s Ghana lithium portfolio, including Ewoyaa, after meeting the Stage 2 terms of the project agreement.

The transaction, if completed, will also transfer Elevra’s associated spodumene concentrate offtake rights to Huayou, giving the Chinese group a stronger position in both the project’s equity-linked economics and future supply chain flows. For Ghana, the deal places Ewoyaa more firmly within the orbit of a major Chinese battery materials company at a time when global competition for critical minerals is intensifying.

Atlantic Lithium said Huayou had agreed that, upon completion, development cost conditions precedent would be deemed satisfied or waived. Huayou would then begin sole-funding Ewoyaa’s development costs up to the remaining sole-funding obligations under the existing project agreement.

That commitment is significant for a project that has become a test case for Ghana’s ambition to move beyond traditional gold, bauxite and manganese extraction into the fast-growing critical minerals economy. Ewoyaa is expected to be Ghana’s first lithium mine and has been positioned as one of the country’s most strategic new mineral assets, given lithium’s central role in electric vehicle batteries, energy storage systems and the wider global energy transition.

The latest agreement follows Atlantic Lithium’s May 7 announcement of a Scheme of Arrangement with Huayou, although the company stressed that Elevra’s transfer agreement is not conditional on that scheme being implemented. The agreement also provides that, should the scheme consideration change within three months, the consideration paid under the Elevra-Huayou agreement would reflect the same proportional change.

Atlantic Lithium said the arrangement provides “a clear pathway” for Ewoyaa’s development and is expected to accelerate the delivery of benefits promised to Ghana, particularly host communities in the Central Region. The company also said the agreement includes reciprocal releases between Atlantic Lithium and Elevra, including in relation to any disputes, as well as customary mutual representations and warranties.

For investors, the transaction reduces uncertainty around funding and project execution by consolidating key project rights and obligations in the hands of Huayou, which has both strategic interest in lithium supply and exposure to the battery metals value chain. For Ghanaian policymakers, however, the development raises a different set of questions: how the country captures value from a mineral that is no longer merely a mining commodity but a strategic industrial input.

Ghana’s Parliament ratified the mining lease for Ewoyaa in March 2026, while the project had earlier secured an Environmental Protection Authority permit in September 2024 and a Mine Operating Permit in October 2024. Atlantic Lithium published a Definitive Feasibility Study for the project in July 2023.

Those milestones mean Ewoyaa has moved beyond exploration promise into the more consequential stage of financing, construction and governance. The entry of Huayou into Elevra’s rights and obligations, including offtake rights, therefore carries implications beyond Atlantic Lithium’s balance sheet. It speaks directly to Ghana’s ability to negotiate strategic mineral projects in a way that secures not only royalties and taxes, but also local participation, processing opportunities, jobs, infrastructure and long-term industrial value.

The central issue for Ghana will be whether Ewoyaa becomes merely another raw material export story or the foundation of a broader lithium value chain. With Huayou poised to assume a larger role, the state’s regulatory posture will be closely watched by investors, communities and civil society groups seeking assurance that the country’s first lithium mine will deliver more durable national value than previous extractive-sector cycles.

Atlantic Lithium said it would keep the market informed of any material developments in line with its continuous disclosure obligations. For now, the agreement signals that Ewoyaa’s development path is becoming clearer but also that Ghana’s strategic minerals future may increasingly be shaped by how well it manages the interests of global battery metals players seeking control over supply.
